Leadsocial ("Leadsocial," "we," "us," "our") provides its services (described below) to you through its website located at leadsocial.co (the "Site") and through related technologies and services (collectively, such technologies and services, including any new features and applications, and the Site, the "Service(s)"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service"). By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these Terms of Service, you must not access, browse, or otherwise use the Service. If you are entering into these Terms of Service on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity, in which case "you" or "your" shall refer to such entity.
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and indicate the date these terms were last revised at the top of this page. We will also notify you, either through the Service's user interface, in an email notification, or through other reasonable means. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Service or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
If you are entering into these Terms of Service as an individual: please read these Terms of Service carefully, as they contain an agreement to arbitrate and other important information regarding your legal rights, remedies, and obligations. The agreement to arbitrate requires (with limited exception) that you submit claims you have against us to binding and final arbitration, and further (1) you will only be permitted to pursue claims against Leadsocial on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding, (2) you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis, and (3) you may not be able to have any claims you have against us resolved by a jury or in a court of law.
In addition, when using certain features of the Service, you will be subject to any additional terms applicable to such features, including, without limitation, our Privacy Policy. All such terms are hereby incorporated by reference into these Terms of Service.
1.Access and Use of the Service
a.Service Description
Leadsocial provides a subscription-based software platform that connects to your Instagram professional account. Features include:
- A unified inbox for your Instagram direct messages, synced through Meta's official APIs;
- A lead CRM that keeps a record, timeline, and notes for every person who messages you;
- Automatic and manual tagging, including keyword-triggered tags;
- Automations, including comment-to-DM replies, keyword replies, and scheduled follow-up messages;
- AI-drafted reply suggestions, conversation summaries, and lead scoring;
- Plain-English search across your entire message history;
- Team access, so multiple people can work the same inbox; and
- Other related features released from time to time.
Certain aspects of the Service are powered by proprietary and third-party advanced technologies, such as artificial intelligence, machine-learning systems, third-party large language models, and similar technology and features (together, "AI Technology"). Any features or services not expressly included in your subscription plan are out of scope and may require an upgraded plan or additional fees.
b.Your Registration Obligations
You are required to register with Leadsocial in order to access and use the Service. If you choose to register, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 18 years of age, you are not authorized to use the Service, with or without registering.
c.Member Account, Password, and Security
The individual or entity registering for the Service by opening an account and accepting these Terms of Service (the "Account Owner") will be the contracting party for purposes of these Terms of Service. The Account Owner may invite additional members to a workspace, and is responsible for the acts and omissions of every member they invite. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Leadsocial of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Accounts are generally not transferable. Leadsocial will not be liable for any loss or damage arising from your failure to comply with this Section.
d.Modifications to Service
Leadsocial reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Leadsocial will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
e.General Practices Regarding Use and Storage
You acknowledge that Leadsocial may establish general practices and limits concerning use of the Service, including the maximum period of time that data or other content will be retained, the number of leads included in your plan, message sending rates, and the maximum storage space allotted on Leadsocial's servers on your behalf. You agree that Leadsocial has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded through the Service. You acknowledge that Leadsocial reserves the right to terminate accounts that are inactive for an extended period of time, and to change these general practices and limits at any time, in its sole discretion, with or without notice.
f.Third-Party Services and Distribution Channels
To the extent you utilize any third-party products and services in connection with your use of the Service (including Instagram, Facebook, Meta, Stripe, or any other integrated platform), you agree to comply with all applicable terms of any agreement governing such third-party products and services, including the Instagram Terms of Use, the Meta Platform Terms, and Instagram's Community Guidelines. These Terms of Service are between you and Leadsocial only, and not with any such third party.
2.Conditions of Use
a.User Conduct
You are solely responsible for all information, data, text, images, messages, or other materials ("Materials") that you upload, post, publish, display, send, or otherwise use via the Service or that you generate via the Service (collectively, including AI outputs, the "User Content"). Leadsocial reserves the right to investigate and take appropriate legal action against anyone who, in Leadsocial's sole discretion, violates this provision, including removing the offending Materials, suspending or terminating the account, and reporting violations to law enforcement. You agree not to use the Service to:
- send or generate Materials that (i) infringe any intellectual property or other proprietary rights of any party; (ii) you do not have a right to send under any law or under contractual or fiduciary relationships; (iii) contain software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any software or hardware; (iv) pose or create a privacy or security risk to any person; (v) constitute unsolicited or unauthorized advertising, "spam," "chain letters," "pyramid schemes," or any other form of solicitation; (vi) are unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, or hateful racially, ethnically, or otherwise objectionable; or (vii) in the sole judgment of Leadsocial, are objectionable or which restrict or inhibit any other person from using or enjoying the Service;
- send bulk, unsolicited, or automated direct messages to people who have not initiated contact with you or otherwise consented to receive them;
- use the Service in any way that violates Instagram's or Meta's terms, policies, rate limits, or automation rules, or that could reasonably result in the restriction or ban of your Instagram account;
- interfere with or disrupt the Service or servers or networks connected to the Service;
- violate any applicable local, state, national, or international law, or any regulations having the force of law;
- impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation, licensing status, or professional credentials;
- solicit personal information from anyone under the age of 18;
- harvest or collect email addresses, phone numbers, or other contact information of other users or of leads for the purposes of sending unsolicited communications outside the Service;
- use automated tools to scrape, extract, harvest, or otherwise obtain data from the Service through any means not intentionally made available;
- reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service or its underlying AI systems;
- resell, sublicense, share, or otherwise commercialize access to the Service, or share your account credentials with others; or
- connect an Instagram account you do not own or are not authorized to manage.
b.Anti-Spam and Messaging Compliance
By using the Service, you agree to comply with the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Law (CASL), the EU's GDPR, and any other applicable laws and regulations in relation to all commercial electronic messages and outreach sent by you or on your behalf, including direct messages sent through Instagram. You are solely responsible for having a lawful basis to message each recipient and for honoring opt-out requests. You agree to indemnify and hold harmless Leadsocial against any and all loss, damage, liability, claim, action, judgment, fine, cost, or expense, including reasonable legal fees, arising out of or occurring in connection with your failure to comply with this paragraph.
3.AI-Generated Content, Automations, and Approval
Leadsocial provides AI-powered messaging tools. By using the Service, you acknowledge that you are responsible for everything sent from your Instagram account through the Service, whether you typed it, an AI drafted it, or an automation sent it.
3.1AI Reply Suggestions and Summaries
Leadsocial's AI generates suggested replies, conversation summaries, lead scores, tag suggestions, and search results based on your conversations and your brand profile. These outputs are designed as starting points, not final, send-ready messages. You are solely responsible for:
- reviewing every suggested reply before sending it;
- ensuring all claims, prices, availability, statistics, and representations are accurate and verifiable;
- verifying that messages comply with all applicable advertising regulations, industry-specific rules, and licensing requirements; and
- confirming that messages adhere to your company's compliance policies and brand guidelines where applicable.
AI-generated content may occasionally produce similar outputs for different users due to the nature of generative models, and may be inaccurate, incomplete, or fabricated. Outputs should always be reviewed by you before use.
3.2Automations and Automatic Sending
The Service allows you to configure automations that send messages without a human reviewing each one, including comment-to-DM replies, keyword replies, and scheduled follow-ups. You acknowledge and agree that:
- you author and explicitly enable each automation, including its trigger conditions and its message content;
- once enabled, an automation will send messages on your behalf without further review by you or by Leadsocial;
- you are solely responsible for the content, timing, frequency, and legality of every message an automation sends, and for the consequences of a mis-configured trigger;
- you can pause or delete any automation at any time from your account, and doing so stops further sends going forward; and
- Leadsocial does not monitor, review, or pre-screen automated messages before they are sent.
3.3AI Agents
Where the Service offers AI agents that reply autonomously on your behalf, the same allocation of responsibility applies: you configure the agent, you define its instructions and limits, and you are solely responsible for every message it sends. You should monitor an agent's conversations regularly, and you may disable it at any time.
3.4Brand and Website Analysis Consent
By providing a website URL or connecting your Instagram account, you expressly consent to Leadsocial's systems accessing and analyzing the publicly available content there in order to extract your brand voice, offers, specialties, and differentiators, and to personalize AI outputs. You represent that you have the authority to authorize such analysis. You may remove your website URL at any time in settings, after which no further analysis will be performed.
3.5Platform Risk
Instagram and Meta independently control access to their platforms and may change, rate-limit, restrict, suspend, or terminate access at any time, including access to your own account. Leadsocial is not responsible for any action taken by Instagram or Meta against your account, for any loss of access, messages, or followers, or for changes to their APIs, policies, or automation rules that affect the Service.
4.No Legal, Financial, or Professional Advice
Leadsocial does not provide legal, financial, tax, medical, or other professional advice. All decisions, representations, pricing, claims, and business practices remain solely your responsibility. Content generated by the Service should not be construed as professional advice of any kind.
5.No Guaranteed Results
Results Disclaimer: Leadsocial does not guarantee specific results, leads, or revenue. Outcomes vary based on your business, audience, niche, offer, effort, and use cases. Any examples, case studies, testimonials, projections, screenshots, or income or lead figures referenced on our website, in marketing materials, in the Service, or in AI-generated outputs are illustrative only and do not constitute a promise, prediction, or guarantee of similar results for you.
Without limiting the foregoing, Leadsocial makes no guarantees regarding:
- leads, inquiries, appointments, bookings, or conversions;
- revenue, sales, commissions, or return on investment;
- audience growth, followers, reach, impressions, or engagement metrics;
- message deliverability, response rates, or the continued availability of any Instagram feature; or
- the accuracy, suitability, originality, or non-infringement of any AI-generated output.
Marketing outcomes are inherently variable and influenced by factors outside Leadsocial's control, including market conditions, message quality, audience behavior, third-party platform algorithms, policy changes, and your own business operations. You acknowledge that you are using the Service at your own risk and that any reliance on potential results is solely your responsibility.
5a.Marketing Claims, Regulated Industries, and Content Responsibility
You are solely responsible for everything you send or distribute using the Service, including all User Content and any AI-generated output you choose to use, edit, send, or automate. Leadsocial is a messaging tool; it is not a publisher, advertiser, broker, advisor, or agent for you, and it does not review, approve, or endorse any content you send.
Marketing claims. You are solely responsible for ensuring that any marketing, advertising, promotional, sales, or testimonial content you send through the Service is truthful, accurate, substantiated, non-deceptive, and complies with all applicable laws, regulations, and platform policies. This includes, without limitation, the U.S. Federal Trade Commission Act and FTC Endorsement Guides, the CAN-SPAM Act, TCPA, CASL, GDPR, UK GDPR, and equivalent consumer-protection, advertising, and disclosure laws in your jurisdiction. You are solely responsible for any required disclosures and for substantiating any claims you make about products, services, results, performance, or experience.
Regulated and restricted industries. If you operate in a regulated, licensed, or restricted industry, including but not limited to real estate, mortgage, lending, insurance, investments, securities, cryptocurrency, financial services, legal services, medical, health, wellness, supplements, fitness, multi-level marketing, "make money online", coaching or business opportunity, gambling, cannabis, alcohol, firearms, adult content, or any other regulated category, you are solely responsible for ensuring that your use of the Service and any content you send complies with all applicable licensing requirements, fair-housing laws, securities laws, state insurance and lending regulations, FDA and FTC health-claim rules, applicable bar or legal-ethics rules, and the rules of any professional body, brokerage, franchisor, lender, or platform you are affiliated with. Leadsocial does not provide regulated professional advice, and AI-generated content must not be relied on as such.
User-generated and AI-generated content. All content you input, prompt for, generate, edit, save, or send via the Service is treated as your User Content under these Terms, and you assume full responsibility and legal liability for it. To the maximum extent permitted by law, Leadsocial disclaims all liability arising out of or related to (1) marketing or promotional claims you make; (2) regulatory, licensing, disclosure, or compliance failures in your industry; and (3) any User Content or AI-generated content created, modified, or sent by or on behalf of you.
6.Subscription, Payment, and Billing
- Access to Leadsocial requires an active paid subscription.
- Subscription fees are billed in advance on a recurring monthly or annual basis through Stripe, in accordance with the plan you select.
- Plans include a set number of monthly leads. If you exceed your plan's included leads, your automations will not shut off; instead an overage fee is charged for each additional block of leads, at the rate disclosed at checkout. Leads are counted monthly on both monthly and annual plans, and overages are billed monthly.
- All fees paid are non-refundable unless otherwise required by applicable law.
- We reserve the right to modify pricing with thirty (30) days' notice. Changes will not affect your current paid billing period but will apply to subsequent renewals.
- Failure to maintain a valid payment method may result in suspension or termination of access.
- Promotional pricing or discounts apply only for the specified period and will revert to standard pricing thereafter.
- You may cancel your subscription at any time through the billing portal in your account settings; cancellation takes effect at the end of the current billing period.
7.Account Ownership and Access
Your Instagram account, your business, your leads, and your conversation history remain your sole property. Leadsocial is granted limited access strictly for the purpose of delivering Service features.
- No ownership rights to your Instagram account, brand, leads, or proprietary content are transferred to Leadsocial.
- You may disconnect Instagram at any time in your account settings, and may independently revoke access from within Instagram.
- You are responsible for maintaining the security of your Leadsocial account credentials and for managing the access of teammates you invite.
8.Content Usage Rights
You retain ownership of all User Content you create or send through the Service. By submitting User Content, you grant Leadsocial a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use your User Content solely as necessary to operate, provide, and improve the Service. This does not grant Leadsocial ownership of your account, brand, leads, or proprietary content.
8.1Marketing and Promotional License
In addition to the operational license above, you grant Leadsocial a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and publicly perform: (a) your name, username, handle, profile photo, business name, and logo; and (b) any results, performance metrics, statistics, testimonials, reviews, or success stories associated with your use of the Service, in each case for Leadsocial's advertising, marketing, promotional, sales, public relations, case study, training, demonstration, and business development purposes, in any media now known or later developed. This license survives termination of your account with respect to materials already created or used in active campaigns. For clarity, this license does not extend to the content of your private conversations or to the personal information of your leads.
8.2No Compensation
You acknowledge that no fee, royalty, or other compensation is or will be owed to you for any use described in Section 8.1, and you waive any right to inspect or approve any such use.
8.3Opt-Out
You may opt out of the Marketing and Promotional License in Section 8.1 at any time by emailing richard@leadsocial.co with the subject line "Marketing Opt-Out." Opt-out applies prospectively only and does not require Leadsocial to remove or recall materials already produced, distributed, or scheduled for distribution.
9.Intellectual Property
The Leadsocial platform, including its design, features, AI prompts, models, algorithms, code, and underlying technology, is owned by Leadsocial and protected by intellectual property laws. You may not copy, modify, reverse-engineer, decompile, or distribute any part of the Service without prior written consent. The Leadsocial name, logo, and product names are trademarks of Leadsocial.
10.Disclaimer of Warranties
The Service, including all content and AI outputs, is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, error-free, or free of viruses or other harmful components. Leadsocial does not warrant the accuracy, completeness, or usefulness of any AI outputs or other content available through the Service, nor the continued availability of any third-party platform the Service depends on. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11.Liability Disclaimer
Leadsocial is not liable for:
- inaccurate, misleading, or non-compliant messages sent by you or by automations you configured;
- restriction, suspension, or termination of your Instagram account by Meta for any reason;
- regulatory, licensing, or industry-specific violations arising from your use of the Service;
- business losses, reputational damage, lost leads, or missed opportunities; or
- any indirect, incidental, special, consequential, or punitive damages.
Our total aggregate liability arising out of or relating to these Terms of Service or the Service shall not exceed the greater of (a) the amount you paid Leadsocial in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars (US$100).
12.Indemnification
You agree to defend, indemnify, and hold harmless Leadsocial, its officers, directors, employees, contractors, and agents from any claims, damages, losses, fines, penalties, legal actions, or expenses (including reasonable attorneys' fees) arising from:
- messages sent, scheduled, or automated by you through the Service;
- your representations, advice, or conduct;
- your violation of any law, regulation, industry rule, or third-party platform policy, including Instagram's and Meta's;
- your violation of any third party's intellectual property, privacy, or other rights; or
- any breach of these Terms of Service by you.
13.Termination
Either party may terminate this Agreement at any time:
- You may cancel your subscription through the billing portal in your account settings; cancellation takes effect at the end of the current billing period.
- We reserve the right to suspend or terminate your account immediately for violation of these Terms of Service.
- All fees paid prior to termination are non-refundable.
- Upon termination, your right to use the Service will immediately cease.
- Leadsocial has no obligation to continue services or maintain your data beyond a reasonable retention period following termination. See our User Data Deletion instructions for how to have your data removed.
- No responsibility is assumed for future performance or outcomes post-termination.
14.Dispute Resolution by Binding Arbitration
a. Agreement to Arbitrate. This Dispute Resolution by Binding Arbitration section is referred to in these Terms of Service as the "Arbitration Agreement." You agree that any and all disputes or claims that have arisen or may arise between you and Leadsocial relating in any way to your access to or use of the Service or to these Terms of Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
b. Prohibition of Class and Representative Actions. You and Leadsocial agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Leadsocial agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.
c. Rules and Forum. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration will be held in the United States county where you live or work, or any other location agreed to by both parties. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.
d. Opt-Out. You have the right to opt out of the provisions of this Arbitration Agreement by sending a written notice of your decision to opt out to richard@leadsocial.co within thirty (30) days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address and a clear statement that you want to opt out of this Arbitration Agreement.
15.Governing Law
These Terms of Service and any action related thereto will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws provisions. Subject to the Arbitration Agreement above, the exclusive jurisdiction for all disputes that are not subject to arbitration will be the state and federal courts located in Delaware, and you and Leadsocial each waive any objection to jurisdiction and venue in such courts.
16.Special Notice for International Use; Export Controls
The Service and the transmission of applicable data, if any, are subject to United States export controls. No software from the Service may be downloaded, exported, or re-exported in violation of any U.S. or other applicable laws or regulations. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
17.Force Majeure
Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, technical outages, internet or hosting provider failures, cyberattacks, pandemics, government actions, third-party platform changes or outages, or other external disruptions.
18.Our Relationship
Neither these Terms of Service nor your creation of an account or use of the Service creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Leadsocial. You and Leadsocial are independent contracting parties.
19.General
These Terms of Service, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Leadsocial regarding the Service. If any provision is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right or provision. You may not assign these Terms of Service without our prior written consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
